NIIT Learning Solutions (Canada) Undergoes Capital Restructuring Following Operations Review​

NIIT Learning Systems Limited reported that its wholly owned subsidiary, NIIT Ireland Limited, approved a capital restructuring for NIIT Learning Solutions (Canada) Ltd. The decision was made in response to the reduction in operations and associated capital requirements of the Canadian entity, which successfully completed a large training contract in the real estate sector in September 2025.

The restructuring was carried out in compliance with applicable provisions of the laws of British Columbia. NIIT Ireland Limited, as the sole shareholder of NIIT Canada, approved reducing the par value of the issued and outstanding common shares by an aggregate amount of CAD 5,058,493.00 to return this amount to NIIT Ireland Limited.

The restructuring was initiated because the size of operations in NIIT Canada had commensurately reduced following the completion of the contract.

Despite the change in share capital, the company stated that the decision is not expected to have any adverse or material impact on the financials of the subsidiaries or the consolidated financials of NIIT Learning Systems Limited. NIIT Canada will continue to operate as a wholly owned subsidiary of NIIT Ireland and a step-down subsidiary of NLSL. There will be no change in the shareholding pattern of any entity.

On Friday, NIIT Learning Systems Limited shares surged, closing at ₹228.02 after edging up 3.97% from the previous close. The equity traded a volume of 438,600 and successfully navigated an intraday range stretching between ₹219.24 and a high of ₹231.
