All properties and liabilities belonging to both Transferor Companies shall seamlessly transfer to Vintage Coffee and Beverages Limited, effectively consolidating the business operations under a single entity.
Financial Structure and Operational Details
The Transferee Company, which has operated under various names since 1980, is noted as the holding company of the two subsidiary entities. The proposed Scheme outlines several critical operational transitions, including:- Integration: The amalgamation aims to strengthen the amalgamated entity by harnessing synergies and optimizing equipment and human resources.
- Cost Efficiency: The merger is expected to reduce administrative costs and overheads through process simplification and internal economies.
- Capital Restructuring: As the Transferee Company holds 100% of the paid-up capital in both Transferor Companies, no shares of Vintage Coffee and Beverages Limited are required to be allotted to the shareholders of the subsidiary companies upon the scheme becoming effective on October 1, 2025.

NCLT Rules Out Stakeholder Dispute
The Tribunal’s order also addressed an intervention petition filed by Mr. Vangipuram Vijay Saradhi, concerning a mortgage dispute over land held by the Applicant and backed by Punjab National Bank against Transferor Company No.1. The petitioner alleged that the companies promoted the merger to enhance shareholder value without disclosing his objections regarding the collateral security.In its observations on this intervention petition, the Tribunal concluded that the Applicant lacked the requisite locus standi (legal right or interest) in the proposed Scheme of Amalgamation. This was determined by noting that the core dispute concerned an independent mortgage transaction between the Applicant and the bank, and not a matter concerning the statutory compliance or fairness of the merger itself.
The NCLT confirmed that while the companies are subject to regulatory checks—including outstanding demands from the Income Tax Department related to Delecto Foods Private Limited (Transferor Company - 2)—the Transferee Company has provided an undertaking that it will bear these liabilities. The Tribunal also mandated the Transferee Company to ensure statutory compliance regarding all applicable laws following the sanction of the Scheme.
