The National Company Law Appellate Tribunal (NCLAT) has ruled that shareholders and creditors of Info Edge (India) Limited can be exempted from mandatory meetings regarding its amalgamation scheme. The NCLAT allowed an appeal seeking dispensation, holding that since the transferor companies were wholly owned subsidiaries of the transferee company, no new shares were issued, and consequently, the rights of stakeholders were not affected by the merger.

The judgment concerned a Scheme of Amalgamation involving four private limited companies—Allcheckdeals India Private Limited, Axilly Labs Private Limited, Diphda Internet Services Limited, and Zwayam Digital Private Limited—and Info Edge (India) Limited, which served as the Transferee Company or the holding company. The NCLAT set aside the earlier order by the National Company Law Tribunal (NCLT) that had mandated the convening of meetings for Info Edge’s stakeholders.

The decision hinges on the fact that all four transferor companies are wholly owned subsidiaries of Info Edge. The Appellants contended that since no shares were being issued by the Transferee Company and no compromise or arrangement was proposed with its shareholders or creditors, their rights were protected under the scheme.

"Once those foundational facts stood established," noted the Tribunal, stating that the requirement for mandatory meetings could be dispensed with, as the transferor companies were wholly owned subsidiaries of the transferee company, and "the rights of those stakeholders are not shown to be affected."

Procedural Burden and Judicial Discretion​

The NCLAT stressed that the purpose of Sections 230 to 232 of the Companies Act, 2013 is to protect affected classes. However, when the material facts demonstrate that no shares are being issued by the transferee company, nor is any compromise proposed with its stakeholders, the requirement for holding meetings becomes questionable.

The Tribunal found that the NCLT’s order had imposed a "substantial procedural, financial and logistical burden" on the company by directing meetings—despite the fact that the order itself recorded that no alteration of rights or issuance of shares was occurring. The judgment concluded that when the scheme involves only a parent company absorbing its wholly owned subsidiaries, where financial position is positive and stakeholder rights remain unaffected, the Tribunal has the jurisdiction to dispense with such meetings.
