Nazara Technologies Limited (Nazara) has announced key updates regarding its leadership structure, major strategic acquisitions, capital restructuring, and financial performance for the quarter ended June 30, 2026. The company's Board of Directors reviewed the unaudited consolidated and standalone financial results and approved several material corporate actions.

Key Corporate Actions and Appointments​

The company's board meeting involved significant changes in its directorial and executive leadership. Mr. Con Anthony Conlon (DIN: 03200461) was appointed as an Additional Director and Independent Director for a term of five years, effective August 03, 2026.

Strategic Acquisitions and Investments​

Nazara UK, a wholly-owned subsidiary of Nazara Technologies Limited, is expediting the acquisition of Bluetile Games and Bestplay Systems. The company granted in-principle approval to Nazara UK to proceed with this acquisition using an Amended Share Purchase Agreement (Amended SPA).

Under the new terms, the aggregate fixed consideration for acquiring 100% share capital of both target companies is USD 303.02 million (approximately INR 2,909 crores), which includes cash consideration. The company has released from the agreement that originally involved stock issuance to Nazara Technologies Limited.

  • Funky Monkeys Investment: The company plans a further investment in Funky Monkeys Play Center Private Limited for an amount not exceeding INR 9.9 Crores, through primary subscription and secondary acquisition of equity shares. Upon completion, the company's shareholding in FunkyMonkeys is projected to reach approximately 68.1%.
  • Loan Grant: The Board approved the granting of an unsecured loan, up to INR 24 Crores, to Smaaash Entertainment Private Limited, a wholly-owned subsidiary.

Capital Structure and Financial Results​

The company processed the allotment of 9,00,000 fully paid-up Equity Shares (face value INR 2/-) to Founders Collective Fund, pursuant to the conversion of Warrants. The payment received from the founders for the warrants was INR 17,55,00,000, which represents 75% of the Warrant Issue Price.

This allotment resulted in an increase in the company's paid-up equity share capital.
