The consideration for the acquisition will be discharged through the issue and allotment of approximately 70 lakhs fully paid-up equity shares of face value INR 10 each, at an issue price of INR 597.50 per share. This aggregate amount is approximately INR 420.2 crore, ensuring no cash outflow from the Company’s balance sheet.

The land, covering approximately 84.71 acres, is valued at roughly INR 4.95 crore per acre. This valuation is significantly below prevailing licensed land values. The transaction was independently valued by two global property consultancies, Cushman & Wakefield India and iVAS Partners. The share-exchange ratio was determined by KPMG Valuation Services LLP, and a fairness opinion was issued by Motilal Oswal Investment Advisors Limited.

The transaction is designed to align promoter economics with the value-creation potential of the underlying project and public shareholders.

This acquisition marks Max Estates' entry into the residential market of the National Capital Territory (NCT) Delhi, broadening the company's geographic presence beyond its existing portfolios in Noida and Gurugram.

The Delhi land parcel represents one of the few remaining sizable land assemblies in Delhi. It sits at the core of Delhi's westward urban expansion and benefits from improving connectivity via the Urban Extension Road-II (UER-II) and the Delhi Metro.

Mr. Vachani added that the parcel offers a multi-year, phase-able pipeline that directly addresses land bank visibility, while remaining significantly accretive for all shareholders.
