Marcan Pharmaceuticals Acquires Class E Special Shares in Mantra Pharma Inc. for CAD $50 Million​

Emcure Pharmaceuticals Ltd's subsidiary, Marcan Pharmaceuticals Inc., has entered into a share purchase agreement to acquire all of the Class E Special Shares of Mantra Pharma Inc., completing a significant transaction within its steps-down subsidiary structure. The acquisition was finalized on July 2, 2026.

Mantra Pharma Inc., which operates in Canada and focuses on the marketing and distribution of prescription drugs and natural health products, is one of the entities involved. Marcan Pharmaceuticals Inc. purchased all Class E Special Shares from certain shareholders of Mantra. Following this purchase, Mantra remains a wholly-owned subsidiary of Marcan.

The acquisition constituted a related party transaction between two wholly-owned subsidiaries and was undertaken on an arm's length basis. Mantra Pharma Inc., incorporated under the laws of Quebec, Canada, is primarily engaged in the pharmaceuticals industry.

Mantra holds a position within the Canadian market, having been formed on November 6, 2023, through amalgamation involving multiple entities. The company has maintained a trajectory of growth in terms of turnover over its past three financial years.
