The highly anticipated Manipal Health Enterprises IPO is rapidly defining itself not as a pure growth story, but as a strategic financial realignment. The company plans to allocate a significant portion of its Rs 8,000 crore fresh issue toward settling existing debt obligations and completing a tranche of an ongoing acquisition. This move underscores the intensive expansion model that has driven massive debt increases across the healthcare operator in recent years.

How IPO Proceeds are Allocated: Refinancing Debt and Completing Acquisitions​

According to the red herring prospectus, Manipal Hospitals Private Limited is slated to use Rs 5,552.76 crore from the fresh issue solely to repay or prepay borrowings and accrued interest. This substantial commitment addresses a rapid rise in corporate liabilities. An additional Rs 574 crore will be deployed to finance the acquisition of a minority stake in Sahyadri Hospitals.

Together, these debt management commitments amount to Rs 6,126.76 crore of the fresh proceeds. The total offering, which includes existing shareholder sales, is set to raise Rs 9,275 crore, priced between Rs 560-Rs590 per share. The remaining funds are designated for general corporate purposes, limited to 25% of gross proceeds.

Balancing the Books: Financial Strain Amid Aggressive Expansion​

The fresh capital injection is effectively refinancing a debt-funded expansion undertaken previously by Manipal Hospitals. In September 2025, the company had issued 531,000 listed non-convertible debentures worth Rs 5,310 crore to finance the initial tranches of the Sahyadri acquisition. These bonds carry a fixed coupon of 9.03% and require mandatory prepayment upon listing.

The financial metrics reflect this aggressive capital deployment. Consolidated borrowings rose steeply to Rs 10,553.43 crore as of March 2026, up from Rs 4,766.83 crore a year earlier. Consequently, net debt (including lease liabilities) climbed to 3.74 times adjusted Ebitda, increasing from the previous 2 times.

The Impact of Acquisitions on Profitability and Growth Trajectory​

The underlying Sahyadri transaction—which involved acquiring 10 hospitals and 1,606 licensed beds across several Maharashtra cities—is a major driver of costs. Manipal Hospitals initially acquired a 78.71% stake in Sahyadri for Rs 4,596.55 crore in October 2025.

While revenue from operations showed strength, jumping 25.4% to Rs 10,335.75 crore in FY26, the consolidated profit declined by 15.3% to ₹916.52 crore. This decline was attributed partly to finance costs, which surged 69% to Rs 864.29 crore.

Future Growth Strategy and Continued Acquisition Focus​

Manipal’s expansion strategy is robust and does not appear set to conclude upon listing. The company has rapidly expanded its network, adding hospitals after acquiring AMRI in September 2023 and Medica Synergie in July 2024. This rapid growth transformed the organization's scale from 33 hospitals and 9,520 licensed beds in March 2024 to 49 hospitals and 13,037 licensed beds two years later.

The company plans continued evaluation of acquisitions both domestically and internationally. A non-binding term sheet for another hospital in Karnataka, reached in June 2026, signals the intent to sustain this acquisition focus. Furthermore, Manipal aims to add approximately 483 beds through brownfield projects and 1,943 beds via greenfield developments by 2030.
