GP Petroleums Board Approves Dividend, Announces Key Management and Director Appointments​

The Board of Directors of GP Petroleums Limited concluded a meeting on July 24, 2026, during which they considered and approved several material outcomes concerning the company's financial performance, management structure, and future corporate events. The decisions include the recommendation of a final dividend, the appointment of new directors, and the designation of senior management personnel.

The Board reviewed the Unaudited Financial Results for the quarter ending June 30, 2026, along with a Limited Review Report issued by M/s J Mandal & Co. LLP, Statutory Auditors. The Directors also recommended a final dividend of 0.50/- each (10%) for the financial year ended March 31, 2026, which is subject to approval by the Members at the subsequent Annual General Meeting (AGM).

In addition to financial reviews, the Board approved multiple appointments to strengthen the company's leadership and operational capacity. Mr. Harshavardhan Sinha was appointed as an Additional Director in the category of Non-Executive, Non-Independent Director, effective July 24, 2026, and he is liable to retire by rotation. Ms. Sandra Martyres has been appointed as an Additional Director (Non-Executive, Independent) for a term of two consecutive years, starting from July 24, 2026.

Mr. Ajay Navaratne was appointed as Senior Management Personnel in the capacity of Vice President Rubber Process Oil, effective July 24, 2026. The Board’s decisions regarding these appointments were made following a recommendation by the Nomination and Remuneration Committee.

AGM Date and Record Date Set​

The Board also approved the convening of the 43rd Annual General Meeting (AGM) on Wednesday, August 26, 2026, which will be conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). Furthermore, the Board set Wednesday, August 19, 2026, as the Record Date for members wishing to receive the final dividend for the financial year ending March 31, 2026.
