Jana Small Finance Bank Allots 88 Lakh Warrants in Preferential Private Placement​

Jana Small Finance Bank Ltd has finalized the allotment of subscription warrants through a preferential private placement, involving several major investors. The Board of directors of the bank approved the allocation of 88,43,000 Subscription Warrants to various entities, each carrying the right to subscribe to one fully paid-up equity share of the company.

The warrants were allocated to five investors, including Capri Global Ventures Private Limited, 2i Capital PCC, ICM Finance Private Limited, Singularity Large Value Fund III, and Utpal Hemendra Sheth. The details of the allocation are as follows:

In addition to the completed allotment, the bank was informed that GWC Family Fund Investments Pte. Ltd., a Singapore-incorporated entity under TVS Venu, has applied to the Reserve Bank of India (RBI) for approval to subscribe to 68,29,909 warrants. The bank intends to allot these warrants to GWC upon receiving RBI's approval and within prescribed timelines.

As of the date of the allotment, the investors have paid a total amount of INR 102,76,00,818.00 to Jana Small Finance Bank Ltd. The remaining balance will be settled when the Subscription Warrants are exercised and converted, in line with the securities subscription agreement.

The equity shares of Jana Small Finance Bank, issued upon the conversion of these warrants, is scheduled to be listed on BSE Limited and the National Stock Exchange of India Limited.
