ITDC Addresses Governance Compliance Concerns Regarding Board Composition
India Tourism Development Corporation Ltd (ITDC) has addressed concerns raised regarding non-compliance within its governance structure, specifically related to the composition of its board. The matter was reviewed by the company's Board following a directive concerning an Integrated Governance Report filing for the quarter ending 31.03.2026.The Board meeting held on 30.06.2026 reviewed the observations pertaining to ITDC’s governance status. The non-compliance noted related to not having the minimum requisite number of directors and Independent Directors, including a woman Independent Director on the board.
ITDC stated that its directors are appointed by the Government of India through the Administrative Ministry. Consequently, the Board observed that there was no fault attributable to ITDC in this matter, positioning the corporation as being able to seek waivers for penalties associated with the non-compliance.
The company confirmed it is currently following up with the concerned appointing Authority. Upon achieving the necessary compliance measures, a request will be submitted to the exchange seeking the waiver of any imposed fine.
