ITDC Board Addresses Non-Compliance in Integrated Governance Report Filing
India Tourism Development Corporation Limited (ITDC) confirmed that its board addressed an observation regarding non-compliance related to its governance structure, concerning the Integrated Governance Report (IGR) filing for the Quarter ended on March 31, 2026.The matter was reviewed by the ITDC Board during a meeting held on June 30, 2026. The board was apprised of the observations made regarding the non-compliance under SEBI(LODR) Regulations 2015. Specifically, the company faced concerns regarding the minimum number of directors and the requisite number of Independent Directors, including a Woman Independent Director, on its board.
ITDC stated that the members of the Board are appointed by the Government of India through the Administrative Ministry. The company observed that this external appointment structure means there is no fault attributable to ITDC, and consequently, ITDC believes it can seek a waiver of penalties related to the non-compliance.
The corporation confirmed that it is currently following up with the concerned appointing Authority regarding the compliance requirements. Once all requisite compliance is achieved, ITDC plans to submit a request to the exchange seeking a waiver of the imposed fine.
