Inventurus Knowledge Solutions Limited has finalized the execution of a subordination agreement concerning intercompany debts owed to its related parties. The agreement, dated July 10, 2026, involves Inventurus Knowledge Solutions, Inc., and several affiliated entities.

The primary purpose of the Subordination Agreement is to establish the ranking of specific intercompany debts and liabilities relative to external financing obtained by IKS Inc.

The companies involved in the agreement include Inventurus Knowledge Solutions Limited (the Company), IKS Inc., Aquity Holdings, Inc., Aquity Solutions, LLC, Aquity Solutions India Private Limited, and Axis Trustee Services Ltd. GIFT City Branch.

Under the terms of the Subordination Agreement, certain intercompany debts owed by various entities—including IKS Inc., The Company, and all subsidiaries of the involved parties such as TruBridge, Inc.—to IKS Inc., The Company, and Aquity Holdings are subordinated to external obligations. These encompassed debts include shareholder loans, management fees, and dividends.

It is important to note that the scope of the intercompany debt specifically excludes any general trade receivable or intra-Group receivable that arises in the ordinary course of business for services or costs reimbursed on arm's length terms.

The subordinated status applies to these intercompany debts relative to financing facilities secured by IKS Inc., which aggregate up to USD 635,000,000 from lenders.
