IBL Finance Limited Board Approves AGM Call and Non-Convertible Debenture Listing Proposal​

The Board of Directors of IBL Finance Limited, in a meeting held on July 3, 2026, approved several key corporate actions, including the call for the company’s 9th Annual General Meeting (AGM) and matters concerning the listing of outstanding non-convertible debentures.

During the Board Meeting, which took place at the company's Corporate Office, among other resolutions, the Directors reviewed and sanctioned the proposal to list the company’s outstanding unlisted Non-Convertible Debentures. This action is conditional upon shareholder approval and the successful listing of the proposed public issue of Non-Convertible Debentures, as previously intimated by the Company in a letter dated June 6, 2026.

The Board also approved the draft Directors' Report for the financial year 2025-26 along with all related annexures and reports intended for inclusion in the Annual Report 2025-26.

A significant outcome of the meeting was the formal notification of the 9th Annual General Meeting, which is scheduled for Friday, July 31, 2026. The AGM will be conducted via Video Conferencing (VC) or other Audio-Visual Means (OAVM).

Regarding operational readiness for the meeting, the Register of Members and Share Transfer Books of IBL Finance Limited are set to be closed from Saturday, July 25, 2026, through Friday, July 31, 2026. Members whose details are recorded in the Register of Members or maintained by Depositories as of the cut-off date, Friday, July 24, 2026, will be eligible to participate using both remote e-voting and the dedicated e-voting system on the day of the AGM.

Appointment of E-Voting Agencies​

Vekariya, a Practicing Company Secretary, was appointed as Scrutinizer. Mr. Vekariya is responsible for conducting the remote e-voting process and the overall e-voting system on the day of the Annual General Meeting to ensure fairness and transparency.
