HDFC Bank Ltd. to Seek Member Approval for Independent Director Re-appointment​

HDFC Bank Ltd. announced on March 27, 2026, that it will seek approval from its members for the re-appointment of Dr. (Mrs.) Sunita Maheshwari as an Independent Director. The resolution will be put to a vote through electronic means (remote e-voting) commencing on Saturday, March 28, 2026, at 10:00 A.M. (IST) and ending on Sunday, April 26, 2026, at 5:00 P.M. (IST).

The resolution proposes to re-appoint Dr. Maheshwari for a period of 3 years, from March 30, 2026, to March 29, 2029. She will be paid a fixed remuneration of `30,00,000 (Rupees Thirty Lakh only) per annum.

Dr. Maheshwari has experience in Business Management and Small Scale Industry. She has served on the Board since March 30, 2021. Her re-appointment has been recommended by the Governance, Nomination and Remuneration Committee and approved by the Board of Directors. She will be eligible for sitting fees and reimbursement of expenses for attending Board and Committee meetings.
