Frontier Springs Ltd seeks shareholder approval for appointment of Sushil Kumar Luthra as Independent Director​

Frontier Springs Ltd is seeking the shareholders' approval through a Postal Ballot Notice for the appointment of Shri Sushil Kumar Luthra as a Non-Executive Independent Director. The Board of Directors, based on a recommendation from the Nomination and Remuneration Committee, inducted Mr. Luthra as an Additional Director (Non-Executive Independent Director) effective May 28, 2026.

The company has decided to seek formal approval for this appointment via Postal Ballot. Shri Sushil Kumar Luthra was appointed by the Board of Directors and is sought to hold office for a period of five consecutive years, from May 28, 2026, until May 27, 2031, and will not be liable to retire by rotation.

The appointment proposal comes following the cessation of Shri Nimesh Mukerji (DIN: 07705885), an Independent Director, due to his passing. The company is seeking shareholder approval for Mr. Luthra in compliance with relevant regulations regarding board composition.

The Special Resolution proposed sets out the details and qualifications of Shri Sushil Kumar Luthra, who has been nominated for the role. He is 69 years old and holds degrees in Mechanical, Electrical, and Metallurgical Engineering, being a Member of the Institution of Engineers (India).

Mr. Luthra possesses over 32 years of experience as a railway professional and business leader within the Indian Railways (IRSME cadre). His key past roles include Chief Administrative Officer at Diesel Modernisation Works (DMW), Patiala, and he has held positions such as Divisional Railway Manager in Jabalpur, Additional Divisional Railway Manager in Allahabad, and Chief Mechanical Engineer for COFMOW & NF Railway. He also gained experience in Consulting and Rail Projects with RITES Limited.

The board views that his association would be of immense benefit to the company, confirming that he meets all criteria specified under the Act and SEBI Listing Regulations for the role of an Independent Director.
