Godrej Properties Limited Approves Scheme of Amalgamation with Housing Projects Entity​

Godrej Properties Limited (GPL) has approved a scheme of amalgamation involving itself and Godrej Housing Projects Private Limited (GHPPL), consolidating its real estate business operations. The decision was made by the company's Board of Directors on August 04, 2026.

The scheme involves the amalgamation of GHPPL with GPL. GPL is an established listed entity, incorporated on February 08, 1985. GHPPL, which converted from Godrej Housing Projects LLP in December 2014, was incorporated as a private limited company on August 03, 2026.

The entities involved are closely linked. GPL holds 95% of the paid-up equity share capital of GHPPL. The remaining 5% is held by Godrej Projects Development Limited (GPDL), which is a wholly owned subsidiary of GPL. Consequently, GPL views GHPPL as an indirect wholly owned subsidiary.

The rationale behind consolidating the two entities centers on optimizing the real estate business structure and achieving operational efficiencies across the group. The amalgamation aims to reduce the number of legal entities within the group, thereby reducing regulatory compliances. Furthermore, it intends to streamline operations by pooling technical resources, personnel, capabilities, and expertise. This consolidation is expected to result in administrative convenience, elimination of duplication, reduction of administrative costs, and rationalization of financial reporting at the group level.
