Godrej Consumer Products Limited (GCPL) announced significant leadership changes following a Board meeting held on August 11, 2026. The Board approved the appointment of Mr. Aasif Malbari as Managing Director & Chief Executive Officer, while simultaneously noting the resignation of Mr. Sudhir Sitapati and approving the interim appointment of Mr. Vishal Kedia as Chief Financial Officer.

Mr. Aasif Malbari was appointed as an Additional Director (Executive, Non-Independent) and designated as the Managing Director & Chief Executive Officer of GCPL. This role carries a term of five consecutive years, liable to retire by rotation, effective from August 12, 2026, subject to shareholder approval. Consequent to his appointment, Mr. Malbari resigned from the position of Chief Financial Officer (CFO), effective from the close of business hours on August 11, 2026.

The Board further approved the appointment of Mr. Malbari as a member of several key oversight bodies, including the Corporate Social Responsibility Committee, the Environment, Social & Governance (ESG) Committee, and the Management Committee of the company's Board of Directors. He will also continue his service on the Risk Management Committee.

Mr. Malbari brings three decades of experience across the FMCG and auto industries, having served GCPL, Tata Motors, and Hindustan Unilever. As Global CFO, he oversaw business strategy and played a critical role in advancing growth in various geographies. During his tenure, Mr. Malbari was instrumental in the transformation of the company's Africa business, which successfully grew its margin-accretive FMCG portfolio. His efforts resulted in EBITDA margins growing significantly, from approximately 9% in FY24 to approximately 15% in FY26. He is a Chartered Accountant and Company Secretary who secured the All India First Rank in both CA Intermediate and Final examinations.

Simultaneously, the Board took note of the resignation of Mr. Sudhir Sitapati (DIN: 09197063) as Managing Director & Chief Executive Officer, effective from August 11, 2026. Following his departure, he will also cease to be a member of the Corporate Social Responsibility Committee, the ESG Committee, and the Management Committee of the Board of Directors.

Addressing financial leadership needs, the Board approved the appointment of Mr. Vishal Kedia as Interim Chief Financial Officer (CFO) and Key Managerial Personnel, effective from August 12, 2026. Mr. Kedia will continue to discharge his existing responsibilities as Head - Strategy, FP&A and Investor Relations until a permanent candidate is appointed. He has also been designated as a member of the Risk Management Committee.

Mr. Kedia, who has been with the Godrej Group since November 2016, brings extensive experience across corporate strategy, financial planning and analysis, mergers and acquisitions, and investor relations for businesses in India, Indonesia, Africa, and Latin America. Prior to joining the Godrej Group, he worked at The Boston Consulting Group. He holds a Post Graduate Programme in Management from the Indian Institute of Management, Ahmedabad, and a Bachelor of Commerce degree from St. Xavier's College.

The Board meeting commenced at 3:35 P.M. (1ST) and concluded with the approval of these matters by 3:45 P.M. (1ST).
