GenXAI Analytics Limited, formerly known as GenXAI Analytics Private Limited, has issued a clarification regarding its Red Herring Prospectus (RHP) concerning the acquisition of Veear Projects and Tech Private Limited. The clarification addresses a potential non-disclosure related to the relationship between one of the company's Directors and the sellers of the acquired entity.The Company confirmed that Mr. Raj Kishor Khaware, a Director of GenXAI Analytics, holds a relationship with the sellers of Veear Projects and Tech Private Limited. This detail was inadvertently omitted from page 233 of the Red Herring Prospectus.
In light of this, the Company affirmed that all related party transactions conducted during the relevant period with Veear Projects and Tech Private Limited were carried out in the ordinary course of business and on an arm's length basis. These transactions complied with Section 188 of the Companies Act, 2013, and applicable rules.
The management clarified that the aforementioned correction does not affect the commercial terms, valuation, consideration, or the validity of the acquisition transaction itself.
