
Fusion Finance Limited Converts Shares and Forfeits Unpaid Equity Following Rights Issue
Fusion Finance Limited has confirmed the conversion of successfully paid shares and initiated the forfeiture process for uncollected equity during a meeting of its Rights Issue Committee held on July 28, 2026. The decision relates to the First and Final Call Money pertaining to the Rights Issue launched under the Letter of Offer dated March 29, 2025.The Company reported that it received the requisite funds for 2,29,060 partly paid-up equity shares within the specified payment period of June 22, 2026, to July 06, 2026. This successful collection aggregated ₹ 1,50,03,430 (Rupees One Crore Fifty Lakh Three Thousand Four Hundred Thirty only). Consequently, the Committee approved the conversion of these shares into fully paid-up equity shares.
However, Fusion Finance Limited noted that it did not receive payment for the remaining 1,63,028 partly paid-up equity shares. The outstanding amount in respect of these uncollected shares totals ₹ 1,06,78,334 (Rupees One Crore Six Lakh Seventy-Eight Thousand Three Hundred Thirty-Four only).
Based on the non-payment despite the issuance of a Second Reminder-cum-Forfeiture Notice dated June 17, 2026, the Company approved the forfeiture of these 1,63,028 partly paid-up equity shares. The forfeiture includes the amount already paid by the respective shareholders on these shares, in accordance with the provisions of the Companies Act, 2013 and the Articles of Association of the Company.
The Company stated that a formal notice of forfeiture will be issued in due course to all holders whose First and Final Call Money remains unpaid.
