Fujiyama Power Systems Approves Acquisitions of Stakes in Zayo Energy and Zayo Cables​

Fujiyama Power Systems Limited announced that its Board of Directors approved the acquisition of stakes in two associate companies, Zayo Energy Private Limited and Zayo Cables Private Limited. Consequent to these acquisitions, both entities will become associated companies of Fujiyama Power Systems Limited.

The proposed acquisition of an additional 3,100 equity shares increases Fujiyama Power Systems Limited’s holding from 1,900 equity shares (19%) to 5,000 equity shares, representing 50% of ZEPL’s paid-up equity share capital.

The Company stated that acquiring the stake in ZEPL is in the same line of business and will enable backward integration, thereby strengthening the Company's value chain and resulting in operational and strategic synergies. Similarly, Fujiyama Power Systems Limited approved the acquisition of 31% of the paid-up equity share capital of Zayo Cables Private Limited (ZCPL). This increased holding takes the Company's total shareholding in ZCPL to 5,000 equity shares, aggregating 50% of the paid-up equity share capital.

ZCPL specializes in the manufacture of electronic and electrical wires and cables, including insulated wires and cables made of steel, copper, and aluminium. The acquisition is strategically aligned with the Company's business, expected to facilitate backward integration, strengthen the value chain, and generate operational and strategic synergies. Like the ZEPL transaction, the consideration is cash, and the cost is Rs. 31,000.
