Emami Limited Acquires Majority Stake in Vedix and SkinKraft to Bolster Personalized Beauty Segment​

Emami Limited, a key player in India's personal care and healthcare space, has entered into a definitive agreement to acquire a majority stake in IncNut Digital Pvt. Ltd., along with its associated subsidiaries and associates. This strategic move significantly strengthens Emami's presence in the fast-growing personalized beauty and personal care (BPC) segment.

The transaction involves Emami acquiring a 60% stake, on a fully diluted basis, in IncNut Digital Pvt. Ltd. The acquisition is valued at Rs. 321cr., which includes performance-linked adjustments spread over a 24-month period. Furthermore, the agreement outlines that Emami will acquire the remaining stake in IncNut Digital over the next 4 and half years, structured in two tranches, with the consideration determined by an agreed matrix based on future performance.

IncNut is recognized as an early pioneer in India's personalized beauty and personal care market. The company operates through its prominent brands, Vedix and SkinKraft. Both brands utilize a data-driven approach, offering customized haircare and skincare solutions tailored to individual customer needs and profiles through strong direct-to-consumer platforms.

Vedix combines traditional Ayurvedic principles with modern data analytics, providing formulations customized to an individual's prakriti and lifestyle parameters. In parallel, SkinKraft adopts a dermatology-led approach, leveraging clinically validated ingredients to address specific skin and hair concerns. Together, the brands have cultivated strong consumer affinity and repeat engagement, solidifying their differentiated position in the highly dynamic personal care market.

Mr Harsha Vardhan Agarwal, Vice Chairman & MD of Emami Ltd, stated that the investment marks a strategic step in bolstering the company’s presence in the high-growth beauty and personal care segment. He highlighted that while the broader BPC market is expanding, the segment still shows limited meaningful differentiation. "As consumer preferences increasingly shift towards efficacy and customisation, we see personalised beauty as a significant long-term growth opportunity in India and globally," Mr Agarwal noted. He added that the acquisition strengthens the portfolio across high-growth BPC segments alongside other brands like The Man Company and Brillare.

He stated that by leveraging Emami's deep-rooted consumer expertise and strong execution capabilities, the company will accelerate innovation, significantly scale its reach, and lead the evolution of the personalized beauty industry.
