Go Digit General Insurance Limited has agreed to absorb Go Digit Infoworks Services Private Limited, consolidating operations and strengthening its position in the general insurance market.

This strategic combination involves three key parties: FAL Corporation, Infoworks, and Digit General. The transaction, approved under Section 311 of the CCI rulings, represents a critical step in the evolution of the company's service offerings.

Details of the Amalgamation and Transaction Structure​

The core purpose of the proposed transaction is the amalgamation of Infoworks with Digit General. Under the scheme of amalgamation, Digit General will emerge as the surviving entity. This move streamlines corporate structure while maintaining operational focus on insurance services.

As part of the consideration for this amalgamation, Digit General will issue equity shares against the holdings of FAL and Mr Kamesh Goyal. These shareholders include Oben Ventures LLP, which is a limited liability partnership controlled by KG. The transaction is officially registered as an acquisition of voting rights and control.

The parties involved have formally assessed the transaction regarding its market impact before submitting it to the Hon'ble Commission. They have stated that the Proposed Transaction does not raise any competition concerns in relevant markets.

Despite this finding, the companies provided detailed definitions of vertically linked relevant markets for the ease of review by the Commission. These defined areas include the upstream market for general insurance provision in India. The downstream distribution market is also identified as a relevant area.
