Corporate Governance and Capital Structure Updates​

The meeting addressed several matters related to capital structure and debt financing. The Board approved reclassification and reorganization of the existing Authorized Share Capital. Previously authorized at Rs. 85,00,00,000 divided into 787,50,000 Equity Shares and 62,50,00,000 Preference Shares, the company's authorized capital was increased to Rs. 95,00,00,000. This increase is designated as fully equity shares of Rs. 10 each.

The Board also approved the proposed issuance and allotment of Equity Shares in connection with a loan facility amounting to INR 2,000 Crores from Bank of India (Lead Bank) and a Consortium of Lenders. This conversion is subject to approval by members via Special Resolution.

A significant corporate restructuring measure involved reconstituting two key Board Committees: the Stakeholders Relationship Committee (SRC) and the Corporate Social Responsibility Committee (CSR Committee). The SRC now includes Mr. Krishan Lalit Bansal as Chairperson, alongside Mrs. Shruti Aggarwal, Mrs. Shilpi Barar, Mr. Ashwani Kumar Prabhakar, and Mr. Bhisham Kumar Gupta.

Director Remuneration and Related Party Transaction​

The Board considered and approved the increase in managerial remuneration for Ms. Shikha Bansal, Whole Time Director, effective from April 1, 2026. Her annual remuneration was increased from INR 38.49 Lakhs to INR 1.38 Crore, representing an increase of INR 1 Crore per annum.

Furthermore, the Board approved a Related Party Transaction (RPT) wherein Ms. Shikha Bansal is set to take on office premises located at SCO 222 & SCO 223, Omaxe World Street, for use by Atul Krishan Bansal Foundation. The transaction involves a combined rent not exceeding INR 70,000 per month for an 11-month period and was approved by the Audit Committee.

New appointments approved during the meeting included Ms. Ashvika Bansal as CSR Head of the Company, effective August 4, 2026, with a remuneration of INR 2,40,000 per month.

Board Continuity and Re-appointments​

The meeting saw approvals for the continuation and re-appointment of several directors:

  • Mr. Bhisham Kumar Gupta: The company approved the continuation of his Directorship as an Independent Director beyond the age of 75 years, until July 11, 2028.
  • Ms. Shikha Bansal: She was re-appointed as a Whole Time Director liable to retire by rotation for five years, effective from November 1, 2025, to October 31, 2030.
  • Mrs. Shruti Aggarwal: She was also re-appointed as a Whole Time Director liable to retire by rotation for five years, covering the term from April 14, 2025, to April 13, 2030.

The Board members were also authorized to convene the 37th Annual General Meeting of the company through Video Conferencing/Other Audio Visual Means.
