Crisil Limited Amalgamates Two Subsidiaries to Consolidate Global Entity Structure​

Crisil Limited has approved the amalgamation of two wholly owned step-down subsidiaries, Crisil Canada Inc. and Crisil PriceMetrix Inc., forming a single unified entity under the name 'Crisil PriceMetrix Inc.' This strategic move is intended to consolidate the company's global entity structure.

The merger involves both specialized subsidiaries, which will cease to exist as separate entities upon completion of the amalgamation. The transaction remains subject to necessary statutory and regulatory approvals under the Ontario Business Corporation Act (OBCA).

As part of the transition, the share capital of Crisil Canada Inc., amounting to $38 million, will be retained as capital of the amalgamated entity and issued to the parent company.

The two companies involved in the amalgamation are wholly owned step-down subsidiaries of Crisil Limited. Details regarding their operations and financial standing prior to the merger are provided below:

The amalgamation between the two wholly owned subsidiaries will have no impact on Crisil's shareholding pattern. The primary rationale for the merger is to streamline and consolidate Crisil’s existing global entity structure.

CRISIL Stock Price Movement​

On Tuesday, Crisil Limited shares edged higher, gaining ₹72.20 or 1.71%, to settle at ₹4302.4 in the market close. The stock closed amidst a trading range between ₹4226.7 and ₹4340, with 120,746 shares traded during the session.
