- Valuation Metrics: Under the terms, the value attributable to this remaining investment shall not be less than approximately USD 22.87 million. This figure is derived from an agreed business value of USD 70 million or the fair market value at the relevant time, whichever is higher.
- Capital Requirements: Future capital needs for existing business lines will be met through debt financing or other funding mechanisms to preserve the company's economic interest. New business lines will be governed by the specific commercial framework established in the MoU.
- Corporate Guarantees: During the term of the agreement, SSPL has agreed to use reasonable efforts to secure the release or substitution of corporate guarantees provided by Brooks Laboratories Limited regarding the borrowings of BSL.
