Bharti Airtel has made a significant strategic move by raising its stake in Airtel Africa. Through a cashless share-swap agreement, the Indian telecommunications giant has increased its holding from 62.73 per cent to approximately 79 per cent. The transaction is valued at an estimated Rs 28,200 crore, according to company filings made on Tuesday.

The acquisition involved Bharti Airtel purchasing 595,204,251 shares (representing roughly a 16.3 per cent stake) of Airtel Africa from Indian Continent Investment Limited (ICIL). This transaction solidifies Bharti Airtel's commanding economic interest in its African operations.

##Strategic Financial Move via Share Swap

The entire deal structure is defined as a cashless share-swap. In exchange for the acquisition of this substantial 16.31 per cent stake, Bharti Airtel issued equity shares to ICIL, which is an entity within the promoter group.

This financial mechanism allows the company to acquire a large block of shares and boost its economic interest in a high-growth asset. Crucially, the share-swap ensures that no incremental leverage or cash outflow is required from the parent company for this strategic increase.

##Airtel Africa Delivers Strong FY26 Performance

The move comes as Airtel Africa continues to demonstrate robust financial health. For the fiscal year 2026 (FY26), the African business posted a remarkable two-fold jump in profit, reaching USD 813 million. This translates to about Rs 7,700 crore.

This strong performance is attributed mainly to successful tariff adjustments implemented across key markets, particularly Nigeria, along with favorable forex gains reported by the subsidiary.

##Revenue Growth and Future Outlook

Airtel Africa has also shown significant revenue traction. The company’s revenue in FY26 increased by 29.5 per cent, reaching USD 6.4 billion from USD 4.9 billion in FY25. This growth trajectory highlights the operational strength of the African segment.

Bharti Airtel's leadership views this expansion as a critical part of its long-term strategy. During previous earnings calls for March 2026, Sunil Bharti Mittal, Founder and Chairman of Bharti Enterprises, had outlined a clear intention to increase promoter shareholding across all group companies.

Mittal estimated that Airtel Africa is set to become a highly lucrative subsidiary, projecting it will reach USD 10 billion in revenue within the coming years, thereby generating handsome returns for the company.
