Svatantra Microfin, a leading player in the microfinance sector, has filed paperwork for an initial public offering (IPO) amounting to Rs 3000 crore. The company, which is noted as India's second largest microfinance institution by gross portfolio, aims to raise capital through this public listing.

The IPO structure includes two components: a fresh issue of shares totaling Rs 1500 crore and an offer for sale (OFS) valued at Rs 1500 crore. This split allows the company to inject growth capital while facilitating existing investors to pare down their stakes.

Investor Stakes and Ownership Structure​

The draft prospectus filed with the Securities & Exchange Board of India revealed significant participation from private equity players. Existing investors, including Advent International and Multiples, are expected to sell approximately 70% of their respective holdings through the OFS component.

Violicina, an entity affiliated with Advent, holds a substantial 28% stake in the microfinance lender. Meanwhile, Multiples maintains an 11.45% interest through three separate private equity funds. Ananya Birla, who serves as the chairperson and non-executive director, holds a direct 26.48% holding in Svatantra Microfin.

Financial Muscle and Portfolio Growth Trajectory​

As of March 31, 2026, the assets under management (AUM) at Svatantra stood impressively at Rs 21,093 crore. This figure positions the company as the second largest among microfinance lenders, behind CreditAccess Grameen with a portfolio size of Rs 30319 crore.

The lender has demonstrated robust growth in its market share, which increased to 6.37% at the end of March. This marked an increase from 3.26% recorded just two years prior. The surge was significantly aided by the merger of Chaitanya India Fin Credit into Svatantra, effective March 21, 2026.

Strategic Use of Funds and Industry Positioning​

Svatantra Microfin stated that the proceeds derived from the fresh equity issue will be used to augment its Tier I capital base. This funding is critical for meeting future capital requirements and fueling ongoing business growth across its operations.

The company's portfolio remains diverse, primarily consisting of microfinance loans. It also features secured lending products like affordable housing finance and property-backed loans, managed through its subsidiary, Svatantra Micro Housing Finance Corporation.

This IPO filing establishes Svatantra as the second NBFC-MFI to propose a listing this year, following Arohan Financial Services. Currently, only five NBFC-MFIs operate in the public domain.
