Gaja Alternative Asset Management, operating as Gaja Capital, has successfully filed its Red Herring Prospectus (RHP) with the Registrar of Companies. The home-grown alternative asset manager is set to launch a substantial IPO worth Rs 550 crore next week, scheduled to open on August 19. This listing comprises both a fresh issue and an Offer For Sale (OFS).

The company aims to raise Rs 450 crore through the issuance of new shares in the fresh issue portion. Additionally, existing shareholders, including promoters, will participate by selling shares worth up to Rs 100 crore via the OFS component. The IPO is being managed by JM Financial and IIFL Financial Services.

Key Details of Gaja Capital's Public Offering​

The timing of this filing follows months of preparation, as Gaja Capital received SEBI approval for its confidential IPO papers in October 2025. Initially, the total issue size had been set higher at Rs 656.2 crore, but subsequent trimming was undertaken. Market sources suggest this reduction is a direct reflection of the strong earnings performance observed by the company during the fiscal year ending March 2026.

The IPO timeline has been finalized, with the anchor book opening on August 18. The subscription period for the public will run from August 19 to August 21. Gaja Capital expects all share allotments to be finalized by August 24 and anticipates its market debut on stock exchanges around August 26.

Financial Strength Drives Listing Decision​

Gaja Capital demonstrated significant growth in its financial performance, which serves as a cornerstone for the upcoming listing. The company recorded a profit of Rs 79.6 crore for the fiscal year ending March 2026. This represents a considerable increase of 33.8 percent from the Rs 59.5 crore reported in the preceding year.

Revenue from operations also saw robust growth, climbing 11.1 percent. The revenue reached Rs 135.5 crore during the fiscal year, up from Rs 122 crore previously. This consistent financial upward trajectory highlights the operational stability and market traction of the alternative asset manager.

Gaja Capital's Market Position and Usage of Proceeds​

With more than two decades in the industry, Gaja Capital operates as a key investment manager for India-focused funds. Its specialized mandate includes serving Category I and Category II alternative investment funds (AIFs) and advising offshore funds that provide capital to companies operating within India.

The company plans to utilize a substantial portion of the net proceeds from the fresh issue towards strategic financial commitments. Specifically, Rs 372 crore will be allocated for sponsor commitments and the repayment of a bridge loan. The remaining proceeds from the IPO will be utilized for general corporate purposes. Promoters retain a dominant 71.03 percent stake in Gaja Capital.
