Allied Blenders and Distillers Receives NCLT Order Sanctioning Amalgamation of Two Subsidiary Companies​

Allied Blenders and Distillers Limited (ABDL) has received the Certified Copy of the Final Order from the National Company Law Tribunal (NCLT), Hyderabad Bench, confirming the sanction of a Scheme of Amalgamation involving two of its wholly-owned subsidiary companies. The receipt of the certified copy was confirmed on August 3, 2026.

The scheme involves the merger by absorption of Deccan Star Distilleries India Private Limited and Sarthak Blenders & Bottlers Private Limited with and into Allied Blenders and Distillers Limited. This transaction is governed by provisions under Sections 230 to 232 of the Companies Act, 2013.

The NCLT, Hyderabad Bench, concluded its final hearing concerning the scheme on July 24, 2026, and issued the order related to this amalgamation on July 28, 2026. The merger will become effective upon filing of the certified copy with the Registrar of Companies.

As part of the approved Scheme of Amalgamation, all assets, liabilities, rights, interests, licenses, permits, contracts, employees, and obligations of Deccan Star Distilleries India Private Limited (Transferor Company 1) and Sarthak Blenders & Bottlers Private Limited (Transferor Company 2) shall stand transferred to and vest in Allied Blenders and Distillers Limited (Transferee Company) as a going concern.

The amalgamation aims to reduce the number of corporate entities and simplify the group structure, thereby streamlining legal and regulatory compliances for all involved companies. The consolidation is also intended to provide cost efficiencies by combining functions and related operations, leading to the elimination of administrative duplications across the multiple separate companies.

Since both Deccan Star Distilleries India Private Limited and Sarthak Blenders & Bottlers Private Limited are wholly-owned subsidiaries of Allied Blenders and Distillers Limited, no new shares will be issued under the scheme. The shares held by the Transferee Company in the Transferor Companies shall stand cancelled upon the effective date of the merger.

ABDL Stock Price Movement​

Today, Allied Blenders and Distillers Limited shares edged higher, closing at ₹619.55 after the market settled, gaining 0.07% for the day. The equity saw a trading volume of 159,051 shares and closed within its intraday range, bounded by a low of ₹616 and a high of ₹630.
