A consortium of banks initiated proceedings under the SARFAESI Act in February 2014, seeking repayment of an aggregate amount of Rs. 19,319.00 lakhs as of January 31, 2014.The loan was subsequently assigned to Invent Assets Securitization and Reconstruction Private Limited on March 31, 2018. During the current quarter (Q1 FY26), debt was assigned from Invent Assets Securitisation & Reconstruction Private Limited to India SME Asset Reconstruction Company Limited. The matter is currently being heard before the Debt Recovery Tribunal in Pune, with the next hearing scheduled for October 19, 2026.
In relation to ongoing bank borrowings amounting to Rs. 15,894.92 lakhs as of December 31, 2025, the Company has an MoU with Tribus Real Estate Private Limited (TREPL) for takeover and settlement. TREPL has since repaid Rs. 6,599.92 lakhs to lenders/ARCs by March 24, 2026, leaving a balance of Rs. 9,295.00 lakhs unpaid.
Operational Risks and Incident Reports
The results reflect several operational events and risk exposures:- Production Stoppage: A zinc tank ruptured at the plant on April 11, 2026, leading to a production suspension from April 15, 2026, to facilitate recovery. This incident reduced production capacity and adversely impacted sales for the quarter.
- Material Recovery: Of the material recovered from the incident, part was sold as Zinc Dross at scrap value amounting to Rs. 91.06 lakhs.
- Fraud Incident: During Q3 of FY 2025-26, a suspected fraud involving unauthorized access to bank payment processes by a consultant was identified. The amount involved is estimated at Rs. 758 lakhs (approx.), which pertains to various prior periods. The Company has recovered land and residential properties totaling Rs. 131.07 lakhs towards compensation against this loss.
- Frozen Accounts: A provision of Rs. 40.99 lakhs was made for certain current bank accounts identified as frozen by regulatory authorities, as balance confirmations could not be obtained.
Financial Compliance and Matters Pending
The consolidated financial results include the financials of Zenith USA and Zenith Middle East - FZ-LLP. The holding company has addressed several other matters:- Tax Liabilities: A demand notice received in FY 2024-25 for Rs. 1,836.95 lakhs from the Tamil Nadu Commercial Tax Officer regarding an audit of the financial year 2018-19 was significantly rectified; only a penalty of Rs. 0.79 lakhs remained payable and was settled on August 7, 2026.
- GST Litigation: The Company is appealing GST demands received for FY 2024-25 (Rs. 28.76 lakhs) and Q3 FY 2025-26 (totaling Rs. 52.96 lakhs across two notices), which relate to disallowances and observations from audits of financial years 2020-21, 2021-22, and 2019-20.
- Financing Commitments: The Company noted that it has not fully complied with certain provisions of the Companies (Acceptance of Deposits) Rules, 2014 regarding the repayment and maintenance of liquid assets, and is currently assessing the total impact and initiating corrective steps.
The management continues to evaluate all available business options and strategic measures in pursuit of operational efficiency and long-term financial sustainability.
