The Competition Commission of India (CCI) has granted approval for a significant corporate transaction involving major players in the coal sector. The approval permits Yancoal Australia Limited to acquire a 100% stake in Kestrel Coal Group Pty Ltd.

This proposed combination involves the acquisition of the entire equity interest and warrants held by Yancoal Australia Limited from several specified sellers, including EMR Capital Advisors Pty Ltd. and Adaro Capital Limited. The approval marks a strategic expansion within the thermal and metallurgical coal markets globally.

Key Details of the Strategic Acquisition​

The target entity in this transaction is Kestrel Coal Group Pty Ltd., which holds a pivotal interest in the operation of the Kestrel Coal Mine. This mine, operated by Kestrel Joint Venture (Kestrel JV), is situated in Queensland.

Kestrel JV primarily focuses on producing high-quality metallurgical coal, supplemented by a smaller volume of thermal coal. The transaction formalizes Yancoal Australia Limited's entry into this key asset base.

Operations and Market Presence of Entities​

Yancoal Australia Limited operates as the Acquirer and is a publicly listed company, traded on both the Australian Securities Exchange and the Stock Exchange of Hong Kong. Its core business involves producing thermal coal derived from mines located across New South Wales, Queensland, and Western Australia.

The Kestrel Coal Group Pty Ltd., which serves as the Target, holds an 80% interest in the aforementioned Kestrel Joint Venture. Regarding India, both the Acquirer and the Target maintain a limited operational nexus with the Indian market. Yancoal has no physical presence within India.

While direct business activities are localized overseas, the necessity of the acquisition is underscored by Kestrel JV's regular sales of metallurgical coal into the Indian market. Detailed orders from the CCI governing this combination will be issued separately.
