Wipro Approves Change in Statutory Auditors and Appoints KPMG for US Financial Filings​

Wipro Limited, during a Board meeting held on June 2, 2026, approved significant changes regarding its statutory audit partners and the independent accounting firm responsible for US financial filings.

The Board of Directors announced the rotation of the Statutory Auditors, mandatory under applicable corporate laws, and confirmed the appointment of a new independent public accounting firm to audit the company's financial statements for filing with the US Securities and Exchange Commission.

Appointment of New Statutory Auditors​

Regarding the statutory audit function, the Board determined that the term of Deloitte Haskins & Sells LLP (Firm Registration no. 117366W/W-100018) as Statutory Auditors would conclude at the 81st Annual General Meeting (AGM) for the Financial Year (FY) 2026 - 27.

Based on the recommendation of the Audit, Risk and Compliance Committee, Wipro approved the appointment of B S R & Co. LLP (Firm Registration no. 101248W/W-100022) as the new Statutory Auditors. The proposed term of appointment for B S R & Co. LLP is five years, running from the conclusion of the 81st AGM till the conclusion of the 86th AGM, subject to subsequent shareholder approval.

Separately, the Board and Audit, Risk and Compliance Committee approved the appointment of KPMG Assurance and Consulting Services LLP. This firm has been selected to serve as the independent registered public accounting firm.

KPMG will audit the financial statements that are to be included in the Company's Annual Report on Form 20 -F, which is filed with the US Securities and Exchange Commission for the year ending March 31, 2028.

The company confirmed that Deloitte Haskins & Sells LLP will continue serving as the independent registered public accounting firm for the 81st AGM for FY 2026 - 27 and for the filing of Form 20-F for the year ended March 31, 2027.
