Winsome Yarns Limited, a company currently undergoing the Corporate Insolvency Resolution Process (CIRP), has appointed several additional directors to its Board. The appointments were approved by the Monitoring Committee during a meeting held via Video-Conferencing on June 23, 2026.

The Appointments and CIRP Context

The company's current board operations are conducted under the purview of the CIRP, which was initiated after M/s Edelweiss Asset Reconstruction Company Limited filed a petition under Section 7 of the Insolvency and Bankruptcy Code (Code). The process was admitted by the Hon'ble Adjudicating Authority, the National Company Law Tribunal, Chandigarh Bench, on December 22, 2023. Subsequently, the Resolution Professional (RP), M/s ARCK Resolution Professionals LLP, was appointed on March 14, 2024. As part of ongoing corporate governance under the approved resolution plan and NCLT Order dated April 16, 2026, the Monitoring Committee ratified the appointment of six new directors to the Board of Directors.

The newly appointed individuals hold various roles across executive, non-executive independent, and women non-executive categories, bringing significant expertise in construction, real estate, finance, and infrastructure development.

Mr. Avnish Sarvapriya Bansal (Additional Director and Chairperson)
Aged 41 years, Mr. Avnish Sarvapriya Bansal holds a Master's in Business Administration specializing in finance from Edinburgh Business School (UK). His background includes steering a company’s transformation into the market leader for cotton products used in health and hygiene applications. He is noted for his risk management capabilities. He is husband of Mrs. Parul Bansal, but expects no relationship with any other director on the Company's Board.

Mrs. Parul Bansal (Additional Director)
Aged 38 years, Mrs. Parul Bansal holds a diploma in Animation, Graphics and Multimedia from Arena Multimedia, possessing over 10 years of experience in her field. She is the wife of Mr. Avnish Sarvapriya Bansal but expects no relationship with any other director on the Company's Board.

Mr. Mahesh Fogla (Additional Director)
Aged 53 years, Mr. महेश Fogla is a Fellow Member of the Institute of Chartered and Cost Accountants of India and possesses over 25 years of experience in Finance & Accounts, Legal & Taxation, and Strategic Financial Planning. He has extensive experience structuring commercial transactions to minimize costs and taxes. He is not related to any director on the Board.

Mr. Sanjeev Nahar (Additional Director)
Mr. Sanjeev Khubchand Nahar is a construction and real estate professional with over 28 years of experience in project management and engineering for large-scale infrastructure and real estate developments. A Civil Engineer from Mumbai University, he has successfully managed over 20 million sq. ft. of residential, commercial, and infrastructure projects. He serves as Director of V.S. Engineering. Mr. Nahar is not related to any director on the Board.

Mr. Bibhudutta Satpathy (Additional Director)
Mr. Bibhudutta Satpathy has over 34 years of experience in highways, EPC, and industrial construction across India. He currently serves as Senior Vice President (MMR/EPC) at Markolines Pavement Technologies Ltd and previously held senior leadership roles at L&T and Lafarge. Mr. Satpathy has directed projects valued over ₹12,000 crore. He is not related to any director on the Board.
