
Welspun Enterprises Signs Agreement to Divest Aunta-Simaria Project at Enterprise Value of Approximately ₹1,000 Crore
Welspun Enterprises Limited (WEL) has entered into a Securities Subscription and Purchase Agreement (SSPA) for the divestment of its entire shareholding in Welspun Aunta-Simaria Project Private Limited (WASPPL). The transaction involves selling WASPPL, which is the concessionaire for the Aunta-Simaria Ganga River Bridge Highway Project in Bihar, to BIIF Infrastructure II Private Limited.The project, developed under a Hybrid Annuity Model with the National Highways Authority of India (NHAI), features an 8.15 km stretch and includes one of India's widest extradosed bridges spanning the River Ganga. The highway is designed to strengthen connectivity between North and South Bihar and improve access to local agricultural and industrial markets.
The proposed transaction values WASPPL at an aggregate Enterprise Value (EV) of approximately ₹1,000 Crore (Rupees One Thousand Crore Only). This valuation is subject to adjustments defined in the SSPA, including carry interest, net current assets, and pass through receivables.
Project Overview and Buyer Details
BIIF Infrastructure II Private Limited, a private company wholly owned by Build India Infrastructure Fund and managed by Alpha Alternatives Fund Advisor LLP (Investment Manager), was identified as the buyer. WEL confirmed that the purchase does not constitute a Related Party Transaction.The completion of the sale is contingent upon receiving necessary approvals from NHAI and lenders, as well as fulfilling all conditions precedent stipulated under the SSPA. The transaction is expected to be finalized on or before September 30, 2026.

Sandeep Garg, Managing Director of Welspun Enterprises Limited, stated that the capital recycled from this sale will be deployed into selective growth opportunities across transportation, water, wastewater, and tunnelling while maintaining a strong balance sheet.
This divestment effort follows WEL's established history of successful asset recycling; in 2022 alone, the company monetized six completed road assets, achieving an aggregate enterprise value exceeding ₹9,000 crore, strengthening its foundation for expansion into water, wastewater, and tunnelling solutions.
