Vividhmargi Investments Completes Share Vesting in Themis Medicare Following Amalgamation​

Mumbai – Vividhmargi Investments Private Limited has completed the acquisition of shares in Themis Medicare Limited as a result of a recent amalgamation scheme. The change occurred on March 24, 2026, following the approval of the Scheme of Amalgamation of Vividh Distributors Private Limited and Themis Distributors Private Limited with Vividhmargi Investments Private Limited.

The amalgamation, approved by the Central Government acting through the Regional Director, Western Region, Ministry of Corporate Affairs on February 23, 2026, resulted in the equity shares held by Vividh Distributors Private Limited and Themis Distributors Private Limited in Themis Medicare Limited vesting in Vividhmargi Investments Private Limited.

According to a regulatory filing, the transfer is exempt under Regulation 10(1)(d)(iii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. No disclosure under regulation 10(5) was required.
