Vedanta Aluminium Metal Ltd Announces Interim Dividend and Approves Employee Stock Option and Share Purchase Plans​

Vedanta Aluminium Metal Limited (VAML) announced the approval of its First Interim Dividend for the Financial Year 2026-27, alongside sanctioning two comprehensive incentive schemes for its employees: the VAML ESOP 2026 and the VAML ESPP 2026. These decisions were made by the company’s Board of Directors during a meeting held on Thursday, July 30, 2026.

The Board approved an interim dividend of ₹8 per equity share against a face value of ₹1 per equity share for FY 2026-27. This dividend is valued at approximately ₹3,128.55 Crores. The record date set for the payment of this interim dividend is Wednesday, August 05, 2026, and the dividend will be paid within the stipulated timelines prescribed by law.

In addition to the dividend declaration, VAML's Board considered and approved the formulation, adoption, and implementation of the Vedanta Aluminium Metal Limited Employee Stock Option Plan 2026 (VAML ESOP 2026) and the Vedanta Aluminium Metal Limited Employee Share Purchase Plan 2026 (VAML ESPP 2026). These plans are designed to grant options and provide shares to eligible employees of the Company and its subsidiaries, covering up to 5% of the total paid-up share capital.

The schemes will be executed through a Trust Route via the creation of the Vedanta Aluminium Metal Limited ESOS Trust (VAML Trust). This Trust will acquire existing equity shares from the open market in compliance with relevant regulations.

The plans, recommended by the Nomination & Remuneration Committee, cover distinct aspects and targets for the company's workforce. The VAML ESOP 2026 and VAML ESPP 2026 are both subject to the approval of the members of the Company.

Both schemes enable eligible employees to acquire equity shares, facilitating their participation in the company's long-term value creation. The total number of shares under all outstanding Schemes held by the Trust shall not exceed 5% of the paid-up equity share capital of the Company at any time.
