This strategic acquisition is set to significantly deepen VBL's penetration into the Kenyan market and the broader East African region.The transaction involves the purchase of the value-added dairy beverages, juices, and packaged drinking water businesses from DFIL Kenya. The total consideration for this business transfer stands at USD 32 Million, which is equivalent to approximately INR 3,050 million, based on an exchange rate of 1 USD = 95.30 INR.
VBL Kenya intends to leverage the acquired manufacturing infrastructure and distribution capabilities to strengthen its market presence in East Africa. The agreement confirms that the transaction between VBL Kenya and DFIL Kenya is conducted on an arm's length basis. The business transfer is expected to be completed on or before August 1, 2026.
The acquisition includes a state-of-the-art manufacturing facility located on a strategically placed land parcel of 52 acres in Nakuru, Kenya, situated on a national highway. The facility boasts a built-up area of 17,500 sq. mtr and features essential utilities such as an RO plant, Boiler, Effluent Treatment Plant, DG set, and Air compressor.
The acquired operations are specialized in producing value-added dairy beverages, juices, and packaged drinking water. The facility holds international accreditations including Food Safety System Certification 22000 and ISO 9001:2015, ensuring high standards of product quality and safety.
