V-MARC India Limited Announces Strategic Joint Venture for Nepal Market Expansion​

V-MARC India Limited has announced the establishment of a strategic Joint Venture with Annapurna Rathi Cable Industries Limited, a company incorporated under the laws of Nepal. The collaboration is designed to bolster the Company's international presence, enhance access to new markets and technologies, and create long-term business opportunities within the Power Transmission and Distribution Industry.

The Joint Venture, established as the V-MARC-ANNAPURNA JV, will focus on securing business in all sectors within the Republic of Nepal. The primary scope of the agreement involves the manufacturing and supply of Medium Voltage Covered Conductors (MVCC) with voltage grades ranging from 10 kV to 36 kV.

The arrangement was initially executed on October 9, 2025. The Company has recently determined that the Joint Venture has attained material significance due to significant progress in business activities and its growing strategic importance to the Company's long-term growth strategy.

Partnership Structure and Timeline​

The Joint Venture is structured as a contractual agreement rather than an acquisition of shares or assets. Project-related costs, including Bid Bonds, Performance Bonds, and Advance Payment Guarantees, will be shared by the parties on a pro-rata basis.

The Joint Venture Agreement was executed on October 9, 2025, and is scheduled to remain effective until March 31, 2030, unless terminated earlier. The participation structure for the JV is outlined as follows:

Operational Objectives​

The partnership is intended to facilitate joint participation in tenders and the execution of contracts for MVCC products in Nepal. This strategic alliance does not involve any upfront capital contribution, cash consideration, or share swap. The Company intends to utilize this partnership to expand its footprint in the international market while creating sustainable growth opportunities.
