Umiya Tubes Clarifies Allegations Regarding Registered Office and Factory Premises Following Newspaper Report​

Umiya Tubes Limited has issued a detailed clarification addressing allegations published in Divya Bhaskar dated July 13, 2026. The newspaper article raised concerns regarding the company's registered office location, the operational status of its factory premises, the promoter stakeholding, and the movement of the company’s stock price.

The company provided explanations for each point, confirming that several reported facts were misleading or out of date.

Relocation of Registered Office​

Addressing claims that the company did not maintain its registered office in Gandhinagar, Umiya Tubes stated that a decision to shift the corporate seat was formally resolved by the members during the 12th Annual General Meeting held on September 30, 2025. This special resolution stipulated moving the registered office from Gandhinagar to Ahmedabad, effective October 1, 2025. The company currently maintains its registered office in Ahmedabad.

Sale of Factory Premises​

The article also alleged that the company’s factory premises were found inoperative without plant and machinery. Umiya Tubes clarified that the subject factory premises, located at survey nos.1581 to 1584 of ujediya, Tal. talod, dist. sabarkantha, Gujarat, had already been sold out. The sale was completed to M/s. Gaurisuta Agro Industries Pvt. Ltd., and as a result, the premises do not belong to Umiya Tubes Limited effective June 18, 2024.

Promoter Stake and Stock Movement​

Regarding the allegation that promoters had sold their major stake—specifically citing a reduction of 46%—the company clarified that this claim was misleading. The reduction in promoter shareholding occurred over time due to dilution and preferential issue of equity shares. The company, incorporated in 2013, conducted its Initial Public Offering on the BSE SME platform during 2016, and the promoters have remained invested for approximately ten years.

In response to concerns about fluctuations in the company's price, Umiya Tubes stated that movement in the share price is purely at the discretion of market participants.
