Triveni Engineering Sets Record Date for Demerger as Power Business Transfers to TPTL​

Triveni Engineering & Industries Limited has announced a key date in its demerger process, setting Wednesday, July 22, 2026, as the record date to determine the eligibility of equity shareholders to receive shares of Triveni Power Transmission Limited (TPTL).

The announcement follows the successful implementation of the composite Scheme of Arrangement involving Triveni Engineering and Industries Limited, Sir Shadi Lal Enterprises Limited, and Triveni Power Transmission Limited. This scheme was sanctioned by the National Company Law Tribunal, Allahabad Bench, with prior effectiveness being noted from May 19, 2026.

Consequent upon the completion of the Scheme, the power transmission business undertaking of Triveni Engineering & Industries Limited was transferred and vested into TPTL, effective from the Demerger Appointed Date of April 1, 2026.

The demerger dictates that shareholders of the demerged company are entitled to receive equity shares of TPTL based on a specified exchange ratio. The terms state that for every three (3) equity shares of the Demerged Company, which has a face value of INR 1 each, one (1) equity share of the Resulting Company (TPTL) will be issued. Each share of TPTL carries a face value of INR 2.

The Board of Directors of Triveni Engineering & Industries Limited and TPTL confirmed July 22, 2026, as the Record Date for shareholders to receive the equity shares of TPTL as per the mentioned exchange ratio.

Despite the slip, which includes 330,303 shares traded so far, the company's equity continues to showcase significant strength, having previously hit a year high of ₹490.1.
