Taneja Aerospace and Aviation Ltd Enters Master Restructuring Agreement with Zenith Precision​

Taneja Aerospace and Aviation Limited has entered into a Master Restructuring and Transfer Agreement with Zenith Precision Private Limited, its promoters, and other shareholders. The agreement outlines a proposed restructuring transaction that is contingent upon the fulfillment of various conditions precedent and the receipt of all necessary corporate, statutory, regulatory, and contractual approvals.

The Master Restructuring and Transfer Agreement details two key proposals under the framework established by Taneja Aerospace and Aviation Limited (TAAL).

Under the terms of the agreement:

First, the company proposes to transfer its equity investment in Zenith Precision Private Limited to the promoters of Zenith Precision Private Limited.

Second, TAAL or its designated entity intends to acquire a controlling stake in the SEZ Division of Zenith Precision Private Limited. This acquisition would include the identified assets, liabilities, employees, contracts, and leasehold rights as a going concern.

The company confirmed that it will provide further disclosures upon the fulfillment of all conditions precedent and in the event of any material developments related to the transaction.
