The company approved in-principle strategies for both the acquisition of an existing cybersecurity entity and the incorporation of a new subsidiary, alongside formalizing key elements of its employee stock option scheme.

Key Business Approvals and Acquisitions​

The Board granted in-principle approval for the acquisition of Safehouse Technologies Limited, which operates in the Cybersecurity (B2C) industry. The acquisition aims to expand TAC Infosec’s entry into B2C cybersecurity offerings.

Safehouse Technologies Limited, incorporated in 2016, utilizes environmental sensors and cloud-based Software as a Service, Viper, to provide monitoring solutions for buildings and properties. TAC Infosec Limited has approved the acquisition with an estimated cost not exceeding Rs 1,00,00,000 (Rupees One Crores Only). The company plans to acquire 100% of the share capital through a combination of cash consideration and equity shares of TAC Infosec Limited.

Furthermore, the Board considered and approved the incorporation of a new subsidiary company. This entity is expected to focus on B2C Cybersecurity and consumer digital protection, alongside owning Safehouse's intellectual property including source code, product designs, and trademarks. The proposed investment into this subsidiary stands up to Rs 4,00,00,000 (Rupees Four Crore), with TAC Infosec Limited initially holding a 75% shareholding.

Employee Stock Option Scheme Details​

The company also approved the allotment of fully paid up Equity Shares pursuant to the 'TAC Employee Stock Option Scheme 2024'. The scheme covers a total of 200,000 equity shares at a face value of Rs 10/- each.

Details regarding the options exercised show that 1,040 Equity Shares were allotted and subsequently exercised by eligible employees. The monetary value realized from this exercise was Rs 5,200 (Rupees Five Thousand Two Hundred).

The allotment has resulted in an increase to the company’s total issued shares, which now stands at 2,10,27,280. The total issued share capital following this issue is reported as Rs 21,02,72,800.
