The approvals included the appointment of an Independent Director, the amalgamation of two wholly owned subsidiaries in Singapore, and the reclassification of specific Promoter Group members as public shareholders.

Appointment of New Independent Director​

The Board approved the appointment of Mr. Girish Kulkarni (DIN: 01683332) as an Additional Director designated as an Independent Director of the Company. This appointment is subject to shareholder approval and was effective from July 24, 2026. The term of his appointment covers five consecutive years, concluding on July 23, 2031.

Mr. Kulkarni brings extensive experience in the Asian insurance and financial sectors, boasting a career spanning over four decades. His background includes instrumental roles at Dai-ichi Life, where he was a founding member of the global strategy board as Chairman - Asia Pacific (Non-Executive). He previously headed "Star Union Dai-ichi Life Insurance" as MD&CEO for almost a decade, managing it into a profitable and growing business with 500 Crores of Capital. His professional history also includes experience building general finance entities such as General Motors Finance (GMAC) and Generali Group, establishing him as an expert in financial services industry complexities.

Subsidiary Amalgamation Details​

The Board also approved the amalgamation of two subsidiaries: Greenply Holdings Pte. Ltd., Singapore, a wholly owned subsidiary of the Company, with Greenply Global Trading Pte. Ltd., Singapore. The latter entity is described as a step-down wholly owned subsidiary of the Company.

This transaction aims to consolidate the overseas corporate structure of the Greenply Group in Singapore, thereby reducing administrative and regulatory compliances, achieving operational efficiencies, and optimizing costs.
