Swojas Foods Completes Conversion of Warrants, Boosting Paid-Up Capital​

Swojas Foods Ltd, formerly known as Swojas Energy Foods Limited, announced that its Board of Directors approved the conversion of a significant number of convertible warrants into equity shares. The decision was formalized during the Board Meeting held on May 25, 2026.

The transaction pertains to warrants originally allotted through a preferential allotment. The Board considered and approved the conversion of 13,21,000 warrants into 13,21,000 fully paid-up equity shares of the company, each with a face value of ₹ 10.

The allotment was executed for cash, upon the receipt of the remaining exercise price. This payment was calculated at ₹ 12.375 per share warrant, aggregating to ₹ 1,63,47,375.

The conversion significantly increased the company's paid-up equity share capital. Prior to the transaction, the company's paid-up equity share capital stood at ₹ 38,66,26,500, comprising 3,86,62,650 equity shares of Face Value ₹ 10.

Following the conversion, the paid-up equity share capital increased to ₹ 39,98,36,500, consisting of 3,99,83,650 equity shares of Face Value ₹ 10.

The newly allotted equity shares shall rank pari-passu with all existing equity shares of Swojas Foods Ltd.
