
Sumeet Industries Approves Preferential Share Issue and Allocates Funds for CP Plant Integration
Sumeet Industries Limited has taken several significant corporate steps, including the approval of a preferential issue of equity shares following the conversion of Optionally Convertible / Redeemable Preference Shares (OCRPs). Furthermore, the Board approved substantial funding to facilitate the operationalization and integration of a recently acquired CP Plant.The company's Board meeting sanctioned the issuance of up to 84,31,195 Equity Shares. These shares are offered to Non-Promoters through the conversion of OCRPs. The proposed shares carry a face value of Rs. 2/- each and were set at a conversion price of Rs. 33.21 per share, representing a premium of Rs. 31.21/-. This issue is aggregated up to Rs. 28.00 Crores.
The preferred shares are being issued in accordance with the mechanism outlined for the conversion of OCRPs, which were originally allotted on December 11, 2024, following a resolution plan approved by the NCLT on July 16, 2024. The transaction involves six non-promoter investors.

Strategic Funding for Plant Acquisition
In a separate key corporate decision, the Board approved an allocation of Rs. 49.90 Crores to be utilized for general corporate purposes in relation to the Right Issue. These funds are designated for the operationalization and integration of the CP Plant, which was acquired from Nakoda Limited (Under Liquidation).To manage this new venture, Sumeet Industries established a wholly owned subsidiary company named Sumeet Speciality Chips Limited. This dedicated entity will exclusively run the business operations related to the acquired CP Plant. The designated amount is planned to be transferred to this subsidiary in the form of either Equity or an Unsecured loan, as required.
The Board also authorized Anil Kumar Jain, Company Secretary, and Mr. Rohan D. Modh, Director, to finalize and approve all necessary documents relating to the resolution sought by shareholders at the forthcoming Extra Ordinary General Meeting. Furthermore, M/s. Dhirren R. Dave & Co., Practicing Company Secretaries were appointed as the scrutinizer for conducting the E-voting process to ensure fairness and transparency.
