Pune, India, August 25, 2026 — Sudarshan Chemical Industries Limited (Sudarshan), through its European subsidiary Sudarshan Switzerland SLO AG, has signed a definitive Asset Sale and Transfer Agreement with Clariant Additives (Switzerland) AG. The agreement involves the acquisition of Clariant's aluminium dyes and chemicals manufacturing plant located in Muttenz, Switzerland.
The Muttenz facility has been responsible for manufacturing Sudarshan's Aluminium Dyes portfolio for many years. The products covered by the transfer include the Sanodal®, Sanodure®, Sanodye®, and Anodal® brands. The agreement formalizes the conversion of the existing supply relationship into direct ownership for Sudarshan.
Aluminium Dyes, which are used to impart color and durability to anodized aluminium surfaces, are essential components in the automotive and consumer electronics sectors, as well as in packaging and industrial parts. Sudarshan serves this segment globally in collaboration with its regional partners.
A key feature of the Muttenz site is its specialized process capability. The facility is designed to handle complex, multi-step organic chemistry and produces organic intermediates. It has historically manufactured the Aluminium Dye portfolio for Sandoz, Clariant, and now Sudarshan. The plant's existing workforce, consisting of both permanent and agency-engaged personnel, will remain at the site post-acquisition.
The acquisition was driven by the conclusion of the existing supply arrangement with the seller. Instead of transferring this intricate and well-established process to another location, Sudarshan opted to acquire the assets directly. This strategic move is intended to secure long-term continuity for the products and leverage the existing operational capability of the plant.
The transaction involves the purchase of identified assets, and completion includes the transfer of possession of those assets and related records. The closing date is anticipated on or around January 4, 2027, subject to the fulfillment of customary conditions precedent.
Rajesh Rathi, Chairman and Managing Director of Sudarshan Chemical Industries Limited, commented on the acquisition, stating, "We have depended on this site for years. Now we own it. That means we control the process, the capacity, and we can plan the next generation of these products on our own timetable. For customers in this segment, nothing changes except our ability to commit. This is an important step forward because it gives us better control on the processes and a possibility for future innovations."
Dr. Klaus-Dieter Baumgart, Global Chief Technology Officer and Managing Director of Sudarshan Germany Horizons GmbH, emphasized the unique nature of the site, noting, "Muttenz runs multi-step organic chemistry that very few plants in the world can run reliably, and that capability sits with the people who operate it. Our priority is to keep both intact. Same processes, same specifications, same standards. We are acquiring a working operation, not a set of assets on paper."
Angela Cackovich, BU President of Adsorbents & Additives at Clariant International, stated that the transfer was a positive outcome for the Muttenz facility and its employees, noting that Sudarshan is a buyer who understands the operation and is interested in hiring the existing staff.
