Challenges in Board Composition
The non-compliance issues arose due to the completion of tenure of Independent Directors in March 2026. As a consequence, the Company currently does not have any Independent Directors on the Board, making it unable to constitute the Board, Audit Committee, Nomination & Remuneration Committee, Stakeholders Relationship Committee, and Risk Management Committee in line with regulatory requirements.BPCL clarified that, as a Government Company, all Directors are appointed through nominations from the Government of India.

Once the nomination is received from the Government of India, BPCL intends to promptly reconstitute the Board and the affected committees in compliance with the applicable regulations.As the Directors are appointed following the nomination from the Government of India, BPCL states it has no control over the appointment process. Consequently, the company plans to approach both BSE Limited and the National Stock Exchange of India Limited to seek a waiver of the fines levied.
