Key Business Updates and Legal Status​

The management provided detailed information regarding several ongoing legal and regulatory matters:

Land Attachment and Regulatory Proceedings:
Regarding a Joint Development Arrangement (JOA) in Gurugram, Haryana, involving land parcels valued at approximately 2,016.05 million held by Technobuild Developers Private Limited (TDPL), the Enforcement Directorate filed a complaint with the Adjudicating Authority, Prevention of Money Laundering (AA-PML). This led to the provisional attachment of the land parcels following an order by AA-PML. The company has appealed this order before The Appellate Tribunal under Section 26 of the PMLA. Management stated that, based on its assessment and legal opinion, these transactions complied with all applicable laws and regulations.

Income Tax Litigation:
A search operation conducted by the Income Tax Department in March 2023 led to multiple demand orders for assessment years ranging from AY 2015-16 to AY 2023-24, aggregating a demand of approximately 842 million. The company has filed appeals before the Hon'ble Commissioner of Income Tax (Appeals) in Bengaluru and believes it can succeed in these appeals.

Contract Termination Dispute:
A wholly owned subsidiary, Sabha Assets Private Limited (SAPL), faced a project development contract termination from one customer, who demanded compensation of approximately 2,956.13 million in addition to forfeited guarantees and deposits. The company's management holds the view that this termination is illegal and will not adversely impact the financial results, and consequently, no provision has been made.

Fire Clearance and Criminal Proceedings:
A project faced a municipal order dated January 21, 2023, revoking/cancelling the modified sanction plan and occupancy certificate following a complaint by a unit holder. The company appealed this decision to Karnataka Appellate Tribunal (KAT), which granted interim relief. Separately, an order was passed by the Chief Metropolitan Magistrate (CMM) in September 2023 to register a criminal case against the company and its employees based on a separate complaint by the unit holder. The High Court of Karnataka subsequently issued an interim stay on this criminal proceedings order, which management believes is baseless and likely subject to quashing.

Funding and Governance Updates​

The Board approved the issue of Non-convertible Debentures (NCDs) aggregating up to ₹10,00,00,00,000 in tranches on a private placement basis.

A dividend proposal of 6 per equity share, totaling approximately 642 million for the year ended March 31, 2026, was approved by shareholders at the annual general meeting held on July 18, 2026.
