Shree Ram Proteins Limited has approved a significant proposal concerning the sale or transfer of its undertaking following a board meeting held on August 10, 2026. The company's Board of Directors reviewed and sanctioned the move to sell the whole or substantially the whole of its undertaking for an aggregate consideration of approximately 17.00 Crore.The approval for this proposal is conditional upon receiving subsequent approval from the Members through a Special Resolution via Postal Ballot, as well as obtaining all applicable statutory and regulatory approvals. The Board also considered and approved the associated Postal Ballot Notice along with the calendar of events necessary to seek shareholder approval for the said matters.
In conjunction with these decisions, the Board appointed Ms. Payal Dhamecha, Proprietor of M/s. Payal Dhamecha & Associates and a Practicing Company Secretary, as the Scrutinizer. This appointment is intended to conduct the Postal Ballot process through remote e-voting in a fair and transparent manner for shareholders. The company's Chairman and Managing Director, Lalitkumar Chandulal Vasoya, confirmed that all other business agenda items were also considered and approved during the meeting.
