The stock commands a commanding 35% premium in the grey market over the upper issue price of ₹97, pointing towards a potentially robust listing day. Analysts maintain a consensus 'SUBSCRIBE' rating, highlighting the company's prime positioning within India's rapidly evolving commerce landscape.

Grey Market Rally and IPO Pricing Details​

The grey market signal for Shiprocket remains strongly bullish. The current IPO GMP stands at ₹34 per share, translating to approximately 35% above the upper limit of the price band (which is set between ₹92 and ₹97). At this latest estimate, Shiprocket's listing price could reach around ₹131 per share if the grey market trend sustains.

The IPO is structured with a total raise target of ₹1,617.59 crore. This amount is backed by marquee investors like Temasek and Eternal, underscoring deep institutional confidence in the platform. Prior to the public offering, Shiprocket had already raised ₹727.41 crore from anchor investors.

Investor Subscription Response and IPO Structure​

Day 1 of the IPO registered a solid investor response, with the overall issue subscribing at 97% against the total 9.44 crore shares on offer. Retail investors led the charge significantly, showing overwhelming interest by subscribing their portion 3.34 times out of the 1.73 crore shares reserved for them.

The Non-Institutional Investors (NIIs) segment was also highly subscribed at 1.23 times against 2.60 crore shares. Conversely, Qualified Institutional Buyers (QIBs) showed a more measured response, with the category receiving a subscription rate of 2% against their 5.09 crore share allocation.

The IPO structure includes a fresh issue of 9.13 crore equity shares worth ₹885.60 crore, alongside an Offer for Sale (OFS) comprising 7.55 crore shares valued at ₹731.98 crore. The OFS sees participation from various shareholders, including LR India Fund I S.a.r.l. SICAV-RAIF, which is estimated to be the largest selling shareholder with proceeds of ₹258.49 crore.

Business Profile and Allocation of IPO Proceeds​

Shiprocket operates as a technology-led e-commerce enablement platform, providing an integrated suite of tools for businesses managing their online and offline commerce needs. Its services encompass shipping, payments, fulfillment, cross-border trade assistance, and advanced customer experience solutions. As of six months ended September 30, 2025, Shiprocket served over 145,000 active merchants who processed more than 97 million transactions.

The company plans to deploy the net IPO proceeds strategically across several key areas. A significant portion, approximately ₹294 crore, is earmarked for marketing and brand-building activities. Furthermore, ₹211 crore will be invested in enhancing technology infrastructure and capabilities across its core and emerging business segments. Around ₹210 crore is designated for repaying or prepaying certain borrowings.

Analyst Consensus on Shiprocket IPO Investment​

The consensus among leading brokerage houses remains strongly positive, recommending investors to subscribe to the offer. Analysts view Shiprocket as ideally positioned to capitalize on structural growth trends within India's vast e-commerce ecosystem.

Aditya Birla Money Research highlighted the company's leadership in commerce enablement and its scalable merchant base. The brokerage noted that while the core business contributed 73.4% of FY26 revenue with a 17% CAGR, emerging businesses demonstrated even faster growth at 52.6% CAGR. BP Wealth concurred, citing Shiprocket's improving operating leverage and market leadership despite monitoring profitability as a key factor. Geojit Equity Research rated the IPO favorably for medium to long-term investors, emphasizing that the use of IPO funds toward debt reduction could aid future profitability improvements.
